1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the ICDBolt website, pilot program, and related services (the "Services") operated by Value Creating Solutions Sdn Bhd ("Company," "we," "us," or "our"), a company incorporated in Malaysia with its registered office at Level 8, MCT Tower, Sky Park, One City, Jalan USJ 25/1, 47650 Subang Jaya, Selangor D.E., Malaysia.

By accessing the Services, requesting a pilot, creating an account, or clicking to accept these Terms, you agree to be bound by them on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the Services.

2. Description of Services

ICDBolt provides AI-assisted medical coding tools and related workflow features for healthcare organizations and authorized users. Features may include ICD code suggestions, batch processing helpers, audit support tooling, and integrations described in product documentation. Pilot and beta features may be incomplete, change without notice, or be withdrawn.

The Services are intended for professional use by trained personnel. Output is decision-support only and does not replace clinical judgment, certified coding review, or legal advice.

3. Eligibility and Accounts

• You must be at least 18 years old and have authority to bind your organization.
• You are responsible for safeguarding credentials and for all activity under your account.
• You must provide accurate registration information and keep it current.
• We may suspend or terminate access for suspected misuse, security risk, or Terms violations.

4. Acceptable Use

You agree not to:

• Use the Services unlawfully or in violation of healthcare, privacy, or export laws.
• Submit PHI except through channels and contracts that authorize such processing.
• Attempt to reverse engineer, overload, or disrupt the Services.
• Misrepresent AI-generated suggestions as certified human coding without review.
• Share access with unauthorized third parties or scrape the Services at scale.

5. Customer Data, PHI, and Confidentiality

Customer content remains owned by you or your organization. You grant us a limited license to host, process, and display that content solely to provide and improve the Services as described in our Privacy Policy and any Business Associate Agreement (BAA) or data processing agreement in force.

For US HIPAA-covered customers, PHI processing is governed by a separate BAA. Marketing-site forms (waitlist, contact, pilot) should not include patient identifiers or clinical notes.

6. Intellectual Property

The Services, including software, models, documentation, branding, and site content, are owned by Value Creating Solutions Sdn Bhd or its licensors. No rights are granted except as expressly stated in these Terms or a separate written agreement.

7. Fees and Pilots

Paid plans, if any, are described at purchase or in an order form. Pilot access may be free or discounted and may include usage limits, feedback obligations, and an expiration date. Unless otherwise agreed in writing, pilot participation does not create a commitment to purchase.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CODING SUGGESTIONS ARE ERROR-FREE OR THAT THE SERVICES WILL BE UNINTERRUPTED OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUE CREATING SOLUTIONS SDN BHD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM USE OF THE SERVICES. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR MYR 500 IF NO FEES WERE PAID).

10. Indemnity

You will defend and indemnify us against claims arising from your misuse of the Services, your violation of these Terms, or your unauthorized submission of PHI or other regulated data.

11. Governing Law and Disputes

These Terms are governed by the laws of Malaysia, without regard to conflict of law rules. Courts in Selangor / Malaysia shall have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.

12. Changes

We may update these Terms by posting a revised version on this page and updating the "Last updated" date. Material changes for paying customers may also be notified by email. Continued use after the effective date constitutes acceptance.
